It is the Board’s view that for the financial year ended 31 December 2024, the Company complied with the principles of the UK Corporate Governance Code 2018 (the 2018 Code), with the exception of a brief c. seven week period during which the Audit Committee had two members rather than the three required by Provision 24 of the 2018 Code. No business of the Audit Committee was required to be discussed during that period. Further details are included within page 123 on the 2024 Annual Report.

The Board notes that the UK Corporate Governance Code 2024 (the 2024 Code) applies to the Company from 1 January 2025, with Provision 29 of the 2024 Code applying to the Company from 1 January 2026.
